Foundation Members

1. Members elect Directors for Board at annual meeting.
2. Members serve as pool for future Board of Directors.
3. members serve on committees as requested and/or appointed.
4. Members review/approve proposed Bylaws changes.
5. Members serve as community representatives for AGH.
6. Members attend quarterly meetings, including three general membership meetings and the annual meeting. The general membership meetings are held on the second Wednesday in March, June, and September, and the annual meeting is held on the first Wednesday of December. All meetings start at 8 a.m. Members may attend any Foundation Board of directors monthly meetin as a non-voting member.
7. Members serve unlimited term of service.

Board of Directors

1. Directors, with the exception of appointed directors, must be a member of the Foundation to be nominated to serve on the Board.
2. Directors meet January through November on the second Wednesday of the month and at the annual meeting on the first Wednesday in December. All meetings start at 8 a.m.
3. Directors serve as decision-making entity for all business activities of the Foundation. Each Board member has a vote at all meetings.
4. Directors can be elected to office and/or chair a committee.
5. Directors serve a term maximum of six (6) years, with the exception of the appointed directors. Any period served by an officer of the Foundation shall not be counted in calculating consecutive years.
6. Directors approve the appointment of Committee Chairs and elect officers annually.
